These Terms of Service (“Terms”) govern access to and use of the software platform, websites, and services provided by Easy Reserve Study, Inc. (“Easy Reserve Study”, “EZRS”, “we”, “us”, or “our”), and subject to the End User License Agreement and any applicable enterprise agreement.

By accessing or using the Services, you (“Customer” or “you”) agree to be bound by these Terms. If you do not agree, you may not use the Services.

1. Services

EZRS provides a subscription‑based software platform used for reserve studies, capital planning, and related analysis (the “Services”).

Services are provided pursuant to:

These Terms
Any applicable Order Form
The EZRS End User License Agreement (EULA)
The Master Services Agreement (if executed)

In the event of a conflict, the EULA and Order Form control.

2. Eligibility & Authority

You represent that:

You are at least 18 years old
You have the authority to bind the organization on whose behalf you use the Services
All information you provide is accurate and current

3. Account Registration & Security

You are responsible for:

Maintaining the confidentiality of your login credentials
All activity occurring under your account
Promptly notifying EZRS of unauthorized access

EZRS is not responsible for losses caused by compromised credentials.

4. Acceptable Use

You agree to comply with the Acceptable Use Policy, which is incorporated by reference.

You may not:

Reverse engineer or misuse the Services
Interfere with system security or performance
Use the Services for unlawful purposes

EZRS may suspend or terminate access for violations.

5. Fees & Billing

Fees, billing schedules, and payment terms are defined in the applicable Order Form or Subscription Agreement.

Unless otherwise stated:

Fees are billed annually in advance
Fees are non‑refundable
Taxes are excluded and are your responsibility

6. Data & Privacy

6.1 Customer Data

You retain ownership of all data you submit to the Services (“Customer Data”).

6.2 Data Processing

EZRS processes Customer Data solely to:

Provide and support the Services
Meet contractual and legal obligations

Data protection obligations are governed by the Data Processing Agreement (DPA).

6.3 Privacy

EZRS’s data practices are described in its Privacy Policy, incorporated by reference.

7. Intellectual Property

EZRS retains all right, title, and interest in and to:

The Services and platform
Software, documentation, and improvements
All related intellectual property

No rights are granted except as expressly stated. Customer’s right to access and use EZRS software platform is governed exclusively by the EZRS End User License Agreement (EULA). Nothing in these Terms grants a license except as set forth in the EULA.

8. Third‑Party Services

The Services may integrate with third‑party tools or services. EZRS is not responsible for third‑party services, content, or data practices.

9. Service Levels & Support

Service availability and support commitments are described in the Service Level Agreement (SLA), incorporated by reference.

10. Term & Termination

10.1 Term

These Terms remain in effect while you use the Services or have an active subscription.

10.2 Termination

EZRS may suspend or terminate access:

For violation of these Terms or policies
For non‑payment
To comply with legal obligations

Upon termination, your right to use the Services ceases.

11. Disclaimers

The Services are provided “as is” and “as available.”
EZRS disclaims all implied warranties, including merchantability and fitness for a particular purpose, to the fullest extent permitted by law.

12. Limitation of Liability

To the maximum extent permitted by law:

EZRS’s total liability shall not exceed fees paid in the 12 months preceding the claim
EZRS is not liable for indirect, incidental, or consequential damages

13. Indemnification

You agree to indemnify and hold harmless EZRS from claims arising from:

Your misuse of the Services
Your violation of these Terms
Your data or content

14. Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to conflict‑of‑laws principles.

15. Changes to Terms

EZRS may update these Terms from time to time. Continued use of the Services after changes become effective constitutes acceptance of the updated Terms.

16. Enterprise Customers

If Customer has executed a Master Services Agreement with EZRS, the MSA and applicable Order Forms shall govern in the event of any inconsistency with these Terms.
