These Terms of Service (“Terms”) govern your access to and use of the software platform, website, and mobile applications provided by Easy Reserve Study, Inc. (“Easy Reserve Study,” “EZRS,” “we,” “us,” or “our”) (collectively, the “Services”).

By accessing or using the Services, you (“Customer” or “you”) agree to be bound by these Terms. If you do not agree, you may not use the Services.

1. Services

EZRS provides a subscription-based software platform for reserve studies, capital planning, and related analysis.

The Services may be accessed via:

Web applications
Mobile applications (iOS and Android)

Use of the mobile application may be subject to additional terms imposed by Apple App Store and Google Play.

Services are provided pursuant to:

These Terms
Any applicable Order Form
The EZRS End User License Agreement (EULA)
Any executed Master Services Agreement (MSA)

In the event of a conflict, the EULA and Order Form control.

2. Eligibility & Authority

You represent that:

You are at least 18 years old
You have authority to bind your organization
All information provided is accurate and current

3. Account Registration & Security

You are responsible for:

Maintaining the confidentiality of your credentials
All activity under your account
Promptly notifying EZRS of unauthorized access

EZRS is not responsible for losses resulting from unauthorized account use.

4. Acceptable Use

You agree not to:

Reverse engineer or misuse the Services
Interfere with system performance or security
Use the Services for unlawful purposes

EZRS may suspend or terminate access for violations.

5. Fees, Billing, and Subscriptions

Fees and billing terms are defined in your Order Form or subscription agreement.

Unless otherwise stated:

Fees are billed in advance
Fees are non-refundable except as required by law
Taxes are your responsibility

5.1 Subscription Renewal

Subscriptions may automatically renew unless canceled prior to the renewal date.

5.2 App Store Billing

If you purchase a subscription through Apple App Store or Google Play:

Billing is handled by the respective platform
Subscriptions must be managed or canceled through your app store account

Refunds are subject to the app store’s policies

6. Data & Privacy

6.1 Customer Data

You retain ownership of all data you submit (“Customer Data”).

6.2 Data Processing

EZRS processes Customer Data solely to:

Provide and maintain the Services
Fulfill contractual and legal obligations

6.3 Privacy

Our data practices are described in our Privacy Policy, including disclosures required by Apple App Store and Google Play, and are incorporated by reference.

7. Account Deletion

You may request account deletion at any time as described in the Privacy Policy.

Upon deletion:

Your account access will be terminated
Certain data may be retained where required by law

8. Intellectual Property

EZRS retains all right, title, and interest in:

The Services and platform
Software and documentation
All related intellectual property

Your right to use the Services is governed solely by the EULA. No rights are granted except as expressly stated.

9. Third-Party Services

The Services may integrate with third-party tools. EZRS is not responsible for:

Third-party services
Their availability
Their data practices

10. Service Levels & Support

Service levels and support commitments are defined in the applicable Service Level Agreement (SLA), if any.

11. Term & Termination

11.1 Term

These Terms remain in effect while you use the Services.

11.2 Termination

EZRS may suspend or terminate access:

For violations of these Terms
For non-payment
To comply with legal obligations

Upon termination, your right to use the Services ceases.

12. App Store Terms (Apple & Google)

If you access the Services through a mobile device:

Apple and Google are not responsible for the Services
They have no obligation to provide maintenance or support
They are not responsible for claims, damages, or liabilities related to the Services
You must comply with applicable app store terms

13. Export Compliance

You agree to comply with all applicable export control laws, including U.S. Export Administration Regulations. You may not use or access the Services in violation of these laws.

14. Disclaimers

The Services are provided “as is” and “as available.”

To the fullest extent permitted by law, EZRS disclaims all warranties, including:

Merchantability
Fitness for a particular purpose
Non-infringement

15. Limitation of Liability

To the maximum extent permitted by law:

EZRS’s total liability will not exceed the fees paid in the 12 months preceding the claim
EZRS is not liable for indirect, incidental, or consequential damages

16. Indemnification

You agree to indemnify and hold harmless EZRS from claims arising from:

Your use or misuse of the Services
Your violation of these Terms
Your data or content

17. Governing Law

These Terms are governed by the laws of the State of Delaware.

Nothing in these Terms limits rights you may have under applicable consumer protection laws.

18. Changes to Terms

We may update these Terms from time to time. Changes are effective upon posting. Continued use of the Services constitutes acceptance.

19. Enterprise Customers

If you have executed an MSA or enterprise agreement, that agreement governs in the event of any conflict.
